Aviation Services Unlimited (ASU), New York’s only Bell CSF and a Part 135 operator, announced today at the HAI that it has entered into an agreement to be acquired by Hawke Capital Partners, the parent company of Uniflight, LLC. The agreement is subject to certain closing conditions, including regulatory approvals, and is targeted to close by March 31, 2010.

The transaction provides for ASU’s Part 145 Operations to be re-branded “Uniflight Northeast”, further extending the reach of Uniflight’s recently announced Reading, PA operations into Upstate New York. ASU is based at Griffiss International Airport in Rome, NY. Part 135 Operations will continue to operate under the Aviation Services Unlimited brand name, and have already commenced pursuing aggressive expansion to support new outsourcing flight services initiatives at all levels of government.

Paul Rayhill, President of ASU, said, “The partnership with Hawke Capital and Uniflight presents a terrific opportunity for ASU to grow both of its lines of business. We are very pleased to adopt the premier Uniflight brand name for our Bell CSF and to accelerate Uniflight’s growth and expansion in the Northeastern U.S. market. We also are excited to have the ability to access additional resources through Hawke Capital that will accelerate the growth of our fleet operations and related initiatives.”

Joseph Hawke, Chairman of Uniflight and CEO of Hawke Capital, added, “We at Uniflight and Hawke Capital view the opportunity to partner with ASU as an outstanding organizational fit. The cultural compatibility, based on a commitment to customer service and insistence on safety and technical excellence, is very high. In addition, Paul and his team’s relationships and regional market knowledge complement our touch points in the Northeastern market very well. We see this as a winning combination.”

On a post-closing basis, Paul Rayhill will become a partner of Hawke Capital Partners and join the Board of Uniflight, LLC. Mr. Rayhill, a U.S. Naval Academy Graduate and former Naval helicopter pilot, will also continue as president of ASU’s Part 135 operations.
